Terms and Conditions

These Terms and Conditions apply to:

1. Classroom Courses, Online Classes and Bespoke Training courses operated by Soho Editors Training Limited and/or Soho Editor Limited; and
2. any Additional Services provided by third party providers and purchased by You.

These Terms and Conditions should be read in conjunction with any Confirmation Document or conditions of delivery and any applicable Fees, and Our Privacy Policy.

  • Article 1 Definitions
  • As You read these Terms and Conditions, please note that:
    “Additional Services" means any products and services purchased by You and which are provided by third party providers i.e., hotel accommodation, taxi’s, courses etc.
    “Staff” a member of Soho Editors staff or an agent acting on behalf of Soho Editors.
    “Booking” means a booking made by You or on Your behalf for the purchase of a training course, and/or the purchase of Additional Services, and which is accepted by Us in accordance with these Terms and Conditions.
    “Booking Reference” means the alphanumeric locator You are given by Us to identify and confirm each booking reservation made by You or on Your behalf.
    “Booker” means the adult of at least 18 years of age who acts as agent for all delegates in the Booking and makes the Booking in their own name or in their name and other delegates names, including a large number of delegates, and who undertakes the obligations set out in Articles 3.1.4 and 3.1.5.
    “Provider” or “We”, or “Us” and “Our" means Soho Editors Training Limited (Registered No 3034606) having its registered office at 80 Berwick Street, London, W1F 8TU.
    “Confirmation Document” means the confirmation page, email and/or letter from Soho Editors to You setting out the details of Your Booking and any special terms and conditions applicable to Your Booking.
    "Days" means calendar days, including all seven days of the week; provided that, for the purpose of notification, the day upon which notice is dispatched shall not be counted.
    “Disclosed Agency” or “Disclosed Agent” means that We act as a Disclosed Agent for third party suppliers such as hotel and car hire, course suppliers. Each supplier will have its own terms and conditions which govern its products which are applicable to You in addition to these Terms and Conditions
    “Fees” means the amount paid or to be paid for the relevant course and may include additional Fees and taxes (including Fees for the use of a licensed third party booking system).
    “Course” means a single course operated by the provider from one training centre or location.
    “Force Majeure” means any occurrence beyond the provider's control including acts of God, war, riots, embargoes, strikes, acts of terrorism, casualties, accidents, volcanic activity, earthquake, trainers illness or any other causes, circumstances or contingencies beyond the provider's control which prevent or hinder the performance by the provider of its obligations under the Terms and Conditions.
    “Hotel” means the accommodation booked through Soho Editors.
    “Minor” means a delegate under 16 years of age;
    “Delegate(s) or “You,” “Your” and “Yourself" means any person or persons, trained or to be trained in a training course with Our consent.
    “Registered Member” means a Delegate who has completed a Soho Editors registration process by creating an account on www.sohoeditors.com.
    “Sales ” or “Customer Services " means either Our sales or customer services or a sales or customer services run for and on behalf of Soho Editors.
    “Supplier” means a third party provider offering services through the provider.
    "Tariff" means the Fees, rates, VAT, charges and conditions applicable pursuant to these Terms and Conditions.
    "Website" means any internet site operated by Soho Editors where online bookings can be made.
  • Article 2. General
  • These Terms and Conditions shall apply to all training carried out in the provision of services by Soho Editors Training Ltd, or Soho Editor Ltd to the Customer in accordance with any order confirmation authorised by the Customer. No additions to, or modifications of, these Terms and Conditions shall have effect unless expressly agreed in writing by both parties and expressed to be amendments to these Terms and Conditions. Soho Editors Training Ltd employees or agents are not authorised to make any representations whatsoever concerning the provision of services unless confirmed by Soho Editors Training Ltd in writing. The Customer acknowledges that it does not rely on, and waives any breach of, any such representations that are not so confirmed.
  • Article 3 Applicability
  • 3.1 General
    3.1.1 These Terms and Conditions govern all Bookings You make with Us and govern any liability We may have in relation to that Booking, with the exception of any courses We operate on a Disclosed Agency basis. In addition to these applicable Terms and Conditions, each Supplier will have its own applicable terms and conditions, which govern its products. Please ensure that You have read both these Terms and Conditions and the terms and conditions for any Additional Services supplied by the relevant Suppliers, before You complete Your transaction with Us.
    3.1.2 Our Terms and Conditions, any Confirmation Document, any applicable Tariffs, the Advanced delegate Information requirements and Our Privacy Policy, and the terms and conditions of any Additional Services supplied by the relevant Suppliers, all form part of these Terms and Conditions and apply to Your Booking. We strongly advise that You read all terms and conditions relevant to Your Booking. This information is available by clicking the hyperlinks above, through Our Website and copies may be printed or downloaded from Our Website, or obtained from Our offices at the addresses set out in Article 2 of these Terms and Conditions, from the relevant third party provider and at Our Centre Sales or Customer Services (where available).
    3.1.3 If We accept Your offer Our internal reservations system will create a Booking (including a Booking Reference) which is then sent to You as a Confirmation Document via an email or via post for Your records. Once the Booking has been made in Our reservations systems (whether a Confirmation Document has been sent or not), there is a binding contract in place between You and Us where We are acting as principal or between You and the Supplier of the service or product You have purchased through Us where We are acting as Disclosed Agent. Please check the Confirmation Document very carefully. If the Confirmation Document indicates any discrepancies or it is not what You think You ordered or if You do not receive a Confirmation Document after You believe You have completed Your Booking, please contact Us immediately.
    3.1.4 When You make a Booking, We will ask You for a booking name to be known as the Booker. You have to be at least 18 years old to be the Booker and:
    • accept these Terms and Conditions on behalf of the delegates named in the Booking;
    • be responsible for receiving and relaying any and all communications/correspondence (including changes, amendments and cancellations) from Us or Our Suppliers concerning the Booking to all delegates named in the Booking;
    • where the booker is not a delegate, You agree on request to provide Us with the contact details of the Lead delegate on the booking who will be contactable by Us for the purposes of advising disruption events including delays and cancellations; and
    • acknowledge that You have the consent of each delegate to receive any refund and, where applicable, incidental expenses or compensation due and payable under the Booking. When a Booking is made by a third party (including booking systems), the third party (e.g. agent) will act as the Booker and undertakes all the rights and obligations of the Booker on behalf of the delegates named in the Booking.
    • acknowledge that any other delegates on the same Booking may make subsequent changes to it, having passed through the requisite data protection security questions and confirmed to us that they have Your consent to make such changes. Acting in good faith upon the answers to our data protection security questions, We shall not be liable for having made such changes if, without our knowledge, Your consent had not been so given. (please see 4.1.1. below)
    3.1.5 You recognise that Your personal data has been given to Us for the purposes expressed in Our Privacy Policy and, in providing Us with Your contact details as the Booker and/or in providing the Booker with the authority to act on Your behalf, You consent to Our use of these contact details in all later correspondence, between the Booker and Us or Our Suppliers. Please ensure that the contact details of the Booker provided to Us are correct, and advise Us immediately if those details change.
  • Article 4 Bookings
  • 4. Acceptance of order
    4.0.1 Bookings can be accepted at any time up to the course start date, subject to availability.
    4.0.2. An official confirmation must be received from the Customer in order to reserve a place. Prior to your confirmation, your place is only held provisionally.
    4.0.3. Confirmed bookings can be made by letter, fax or email (provisional bookings can be made by telephone, email or via our on-line service). Bookings will only be confirmed on receipt of written authorisation plus full payment.

    4.1 Booking Your Course
    Courses can be booked via the Website, a licensed third party booking system, by phoning Our Customer Service Team or at our centres via Our Sales or Customer Services (where available), but excludes unlicensed booking systems or agencies who create bookings using robotic applications (e.g.: screen scraping).
    Your Booking is confirmed when We, or a licensed third party booking system, makes a Booking for You. This Booking is then forwarded to You via email, or via a Confirmation Document where the Booking is made at the Sales or Customer Services, or via a letter for Your records. It is not necessary for You to reconfirm a course for which a Booking has been made.

    4.2 Changes
    You are not entitled to change Your Booking once confirmed, except that names of delegates or courses (subject to availability) may be changed prior to the start date for the original course on payment of a Fees set out in 4.6 Substitutions, Rescheduling and Cancellations Fees per delegate per course plus payment of any difference in Fees and taxes between the Booking originally made and the applicable Fees, taxes and any other charges available for the changed course at the time the original fees were paid.

    4.3 Payment
    Fees, all taxes and, in relation to Your Course(s), charges relating to Your Booking must be paid in full before a Booking will be made. If such sums have not been paid in full (or appropriate credit arrangements are not made with Us) when a Booking is made, We may at any time without notice prior to the start date cancel the Booking.

    4.4 Fees non-refundable
    The Fees will be payable by You if You fail to take Your course for which a Booking has been made.

    4.5 Changes to Your Booking
    4.5.1 If You wish to change Your Course or the Delegate to attend You may do so in the circumstances provided in these Terms and Conditions, upon payment of the fees specified in our Fees and Charges. If, in good faith, We either a) provide entry to a person purporting to be entitled to it under a Booking or b) make any refund to a person who We reasonably believe is entitled to that refund, We shall not be liable to any other person who purports to be entitled to attend under that same Booking or entitled to a refund, in accordance with Article 6 (Refunds and Cancellation Fees).
    4.5.2 Where a Delegate wishes to make a change to their Booking, these Terms and Conditions shall apply where the Delegate(s) has created a Booking Reference for Courses only. Where Delegates have purchased any Additional Services and they would like to change any part of their Additional Services, these Terms and Conditions shall apply in addition to the terms and conditions of any Additional Services supplied by the relevant Suppliers
    4.5.3 Validity
    A Booking is only valid for the Delegate(s) named and the Course for which the reservation was originally made, or as subsequently changed, and accepted by Us in accordance with Article 4 (Bookings).

    4.6 Substitutions, Rescheduling and Cancellations Fees

    We offer course fees that are generally non-refundable except as provided in these Terms and Conditions.
    All refunds will be subject to the applicable laws, rules and regulations of England and Wales. Refunds will normally be made in the currency in which the Booking was paid, unless otherwise agreed by Soho Editors.
    In circumstances where You accept an alternative to a refund the relevant terms and conditions will apply to that alternative. A cancellation can only be processed up to twenty four (24) hours prior to the courses scheduled start time.

    4.6.1 Cancellations made within 24 hours of Booking
    If You cancel Your Booking within 24 hours after You have made the Booking, a full refund will be paid if the course has not started. If the Booking has been made with a partner, cancellations made 24 hours after the Booking’s creation can only be made via telephoning Our Customer Service Team. We do not offer refunds in the event of delegates being unable to attend owing to any change in personal circumstances, including but not limited to medical grounds, with the exception of the application of the 24-hour cancellation policy.

    4.6.2 Refund made only to Booker
    4.6.3 We shall make a refund straight back either to the original method of payment or a different method of payment also in the Booker’s name, if the original method of payment is no longer available.
    4.6.4 A refund made to anyone presenting themselves as the Booker, via the use of the relevant Booking (including Booking Reference) or any other documentation provided by US in relation to the booking and in relation to whom We have no reason to believe is not the Booker, shall be deemed a proper refund and shall discharge Us from liability and any further claim for a refund by the Booker or any delegate and/or other member of the booking party.
    4.6.5
    Delegate substitutions may be made prior to the start of the course without penalty, providing Soho Editors Training Ltd is informed in writing. It is the Customer's responsibility, having referred to relevant Soho Editors Training Ltd course information, to ensure the course is suitable for the student's requirements.
    4.6.6 Bookings rescheduled by the customer within one to seven days of the commencement date of the course will incur a 30% transfer fee plus any price difference in the new course fee.
    4.6.7 Bookings transferred by the customer more than seven days before and less than twenty one days before the commencement date of the course will incur a 15% transfer fee plus any price difference in the new course fee, all transfers must take place within 3 months of the commencement date of the original class.
    4.6.8 Transfer requests received once a course has commenced are not acceptable and will be considered to be a cancellation and will be subject the terms and conditions regarding cancellations.
    4.6.9 In the event that a customer cancels a booking for which a transfer has taken place, this will incur a 100% cancellation fee subject to the terms below.
    4.6.10 In all circumstances Soho Editors Training Ltd require written notification of any transfers.
    4.6.11 Cancellations by customers made more than twenty one days before course commencement will not incur cancellation charges.
    4.6.12 Cancellations within one to seven days of course commencement will incur a 100% cancellation fee, between eight and thirteen days will incur a 50% cancellation fee, and between thirteen and twenty days will incur a 30% cancellation fee.
    4.6.13 In all circumstances Soho Editors Training Ltd require written notification of any cancellations.
    4.6.14 Soho Editors Training Ltd undertakes to provide the training course on the date specified except when external circumstances prevent this. In these circumstances Soho Editors Training Ltd will endeavour to re run the course on a mutually agreeable basis.
    4.6.15
    Soho Editors Training Ltd reserves the right to cancel a course, though we make every effort to ensure this does not occur. In the event of a course being cancelled by Soho Editors Training Ltd, alternative dates will be proposed or a full refund of monies paid will be made to the customer.
    4.6.16 Soho Editors Training Ltd takes no responsibility for loss of profit and/or for any incidental, consequential special or indirect losses as a consequence of exceptional cancellations.
  • 4.7 Sub-contracting
  • Soho Editors Training Ltd reserves the right to assign or sub contract its training courses to other appointed and approved personnel.
  • 4.8 Course Transfers
  • 4.8.1 Delegates can transfer courses (that is, the date and time or the location of the course) for an administration Fees per delegate per course (see the course change Fees in Our Fees and Charges), plus any difference between the original Fees paid and the Fees available for the changed course at the time the original fees were paid. If the available Fees is lower than the original Fees paid, a refund will be made.
    4.8.2 A Booking can be amended to transfer to another course by calling Our Customer Service Team and completing the transfer more than 24 hours prior to the original course's scheduled start time.
    4.8.3 A Booking made by a licensed third party booking system can be transferred to another course through that licensed third party booking system; through the Website; or via contact with Our Customer Services Team . The changes must be completed more than 24 hours prior to the original course's scheduled start time.
    4.8.4 The Fees for transfers made online and for transfers made through the Customer Service Team via an Fees Sales or Customer Services at the centres are found in Our Fees and Charges.
    4.8.5 All course transfers must be completed with in six (6) months of the original course date. After six (6) months the booking will be treated as cancelled and no refund will be made.
    4.8.6 All course transfers must be on the same version of the software or hardware. If in the event the customer wishes to take a course on the newer version there maybe applicable fees and charges.
    We reserve the right to refuse Your request to transfer to an earlier course if in our opinion any of the above conditions are not met, or for safety or operational reasons.
    4.8.7 All bookings created through a credit payment to confirm future training, the date chosen is non-transferable.
    4.8.8 All bookings created through a credit payment to confirm future training must be completed in 12 calendar months from the date payment is received by our accounts.
  • Article 5 Fees
  • 5.1 General
    5.1.1 Fees apply only for attendance for the course(s) at the location at the point of delivery. Fees will be calculated in accordance with the applicable Tariff available on the date the Booking is made for the course or courses concerned. Should You wish to change Your Course or any part of Your itinerary there may be additional fees payable.

    5.2 Taxes and Charges
    Any taxes or charges imposed by any Government or other authority, which We are obliged to collect from You or pay on Your behalf in respect of Your booking will be payable by You to Us in addition to the Fee. These amended amounts will not be marked on Your Confirmation Document. If any such tax or charge is introduced or increased after the Booking has been made and before Your course, Any such charges, fees or taxes in addition to the Course Fee may be levied on You via deduction of such charges from the credit card or debit card used to make Your Booking. Failure to make payment may affect Your ability to take a course with Us.

    5.3 Currency

    Fares and charges are payable in any currency in which the Fee is published unless otherwise agreed by Us.

    5.4 Pricing and Payment terms
    5.4.1 All course fees are fixed and published by Soho Editors Training Ltd, however Soho Editors Training Ltd reserves the right to review and change prices.
    5.4.2 The course fee includes tuition, training materials, refreshments, manuals and computer time as appropriate to the course.
    5.4.3 Payment of the course fee, together with the VAT, should be received by Soho Editors Training Ltd no later than 30 days prior to the course start date or on booking, whichever is the sooner.
    5.4.4 No training services will be provided unless payment conditions have been satisfied.
    5.4.5 All prices quoted are exclusive of VAT, which will be charged at the prevailing rate as notified by Customs and Excise.
    5.4.6 Payment can be made by Bank transfer, guaranteed cheque, cash or PayPal or by training loans.
    5.4.7 The client agrees to pay for any loss or extra cost incurred by Soho Editors Training Ltd through the client's instructions or through failure in taking delivery on the part of the client, its servants or employees.
  • 6.2 Cancellations made within 24 hours of Booking

    6.3 Refund made only to Booker
    6.3.1 We shall make a refund straight back either to the original method of payment or a different method of payment also in the Booker’s name, if the original method of payment is no longer available.
    6.3.2 A refund made to anyone presenting themselves as the Booker, via the use of the relevant Booking (including Booking Reference) or any other documentation provided by US in relation to the booking and in relation to whom We have no reason to believe is not the Booker, shall be deemed a proper refund and shall discharge Us from liability and any further claim for a refund by the Booker or any delegate and/or other member of the booking party.
  • Article 7. Course content
  • Our course listing is provided for information purposes only and does not constitute an offer for a particular course or programme. Soho Editors Training Ltd constantly strives to improve the content of its courses and therefore reserves the right to modify the specification of a course without notice to the Customer. A course title, duration, cost, content and location are liable to change at any time.
  • Article 8. Delegate Suitability
  • 8.1 It is the Customer's responsibility to ensure that the course is suitable for their requirements. All delegates should have read and understood the course outline and met the necessary prerequisites.
    8.1.1 Soho Editors Training Ltd reserves the right to ask a delegate to leave the training event if the delegate does not meet the course prerequisites.
    8.1.2 Soho Editors Training Ltd urges clients to support this policy, which is designed to protect the Customer's investment.
    8.1.3 All delegates will be required to abide by any site rules and regulations operating at the course location.
  • Delegates with Specific Requirements - Disability, Medical and Health.
  • 8.2 delegates with specific requirements include people with a disability such as people with a temporary or permanent physical impairment (sensory or locomotory), an intellectual impairment or any other type of disability. People with disabilities may be elderly and/or may have an illness.
    8.2.1 We are unable to accept delegates with a disability who require the assistance of a carer/support person unless a carer/support person is accompanying the delegate. You must arrange to be accompanied by sufficient carer(s)/support person(s) to assist You with Your needs in-course.
    8.2.2 If You have specific requirements, You should advise Us of those requirements at least 72 hours prior to Your start date. delegates with specific requirements should ensure that they are at the centre early.
    8.2.3 Wheelchairs and mobility cannot be manually helped into the centres and will only be accepted for courses if both Centres can provide the facilities to load / unload the device. Please note that some Centres may not have sufficient equipment for lifting heavy wheelchairs and mobility aids. Notifying Us 7 days prior to Your course start date will enable Us to establish this and use reasonable efforts to accommodate Your needs.
    8.2.4 You must be reasonably satisfied that before You attend the course You are medically fit to attend. If You have any reason to suspect, or ought reasonably to know, that You have a condition which might be exacerbated by the normal operation of an enclosed environment or could cause You difficulty if You do not have medical assistance before the course has ended then You should not attend. If you have any doubt whatsoever You are obliged to seek professional medical advice before attending with Us.
    Whenever You are aware of a health condition of the type just mentioned, but have been advised that You are fit to attend provided certain precautions are taken (for example, use of medication), it is Your responsibility to ensure that all such precautions are in fact taken before, during and after Your course, as the case may be and that You are able to produce written evidence of Your fitness to attend, if requested to do so.

    8.3 All delegates
    8.3.1 Please note: You must present Yourself at the centre no later than 15 minutes prior to scheduled start time of course or You may not be allowed to attend, and will forfeit Your place even if You have purchased with Advanced Discounts or Loan Account. It is recommended that You present Yourself at the centre ready for the course no later than 15 minutes before the scheduled start time of Your course.
    8.3.2 Your booking confirmation will be checked as You go through the sign in point at the Centre and again when You renter the centre.
  • Article 9 Schedules
  • 9.1 Without prejudice to any applicable delegate rights pursuant to any international or domestic laws, times shown in timetables, schedules or elsewhere are not guaranteed and form no part of the contract of delivery.
    9.1.1 Unless caused by Our negligent or intentional act or omission, We shall not be liable for errors or omissions in Our timetables or other publicly released timetables as to the dates or times or delivery or as to the operation of any course.
    9.1.3 Changes of Schedules, Cancellation, Delay and Denied Attending At any time after a Booking has been made, We may change Our schedules and/or cancel, terminate, postpone, deny attending or delay any course where We consider this to be justified by circumstances beyond Our control or for reasons of safety. Your rights and support information for disrupted services is available on Our website.
    9.1.4 Informing the Booker Where a cancellation or significant alteration is made to Our schedule, We will use reasonable efforts to inform the Booker as soon as reasonably practicable of any such cancellation or alteration, who in turn undertakes to advise all other delegates/members of the group.
  • Article 10. Fraud or Unlawful Activity
  • Payments must be authorised by the cardholder named in the Booking. We withhold the right to cancel Your course without prior notice if:

    10.1 You cannot provide, when questioned, contact information for the cardholder in order for Us to carry out security checks;
    10.2 the cardholder did not authorise the payment and claims that the Booking is fraudulent;
    10.3 We reasonably suspect that the cardholder or delegate is connected to other fraudulent activity.
  • Article 11 No Further Liability
  • Other than specified in these Terms and Conditions, We exclude all liability for any costs, expenses, losses or damages whatsoever that may arise in any way in connection with the course.

    11.1 General
    11.1.1 We are not liable for damage arising from Our compliance with any laws or Government regulations, orders or requirement, or from Your failure to comply with the same.
    11.1.2 Any exclusion or limitation of Our liability shall apply to and be for the benefit of Our agents, employees and representatives and any person/entity whose facility is used by Us and such person's/entity’s agents, employees and representatives to the same extent as they apply to Us. The aggregate amount recoverable from Us and from such agents, employees, representatives and person/entity and such person's/entity’s agents, employees and representatives shall not exceed the amount of Our limit of liability, if any.
    11.1.3 We shall not be liable for punitive, indirect or consequential damages of any nature whatsoever and howsoever arising. Unless expressly provided in these Terms and Conditions, nothing shall waive any exclusion or limitation of Our liability under applicable laws, in no event will Our obligations exceed any liability specified in these Terms and Conditions.
  • Article 12 Right to refuse attendance
  • We may refuse to allow You to attend for reasons of safety or:
    12.2.1 You are drunk or under the influence of alcohol or drugs in the Centre or on a course;
    12.2.2 You are, or there is good reason to believe You are, in unlawful possession of drugs;
    12.2.3 Your mental or physical state is a danger or risk to Yourself, or any other person in the centre or on a course;
    12.2.4 You have a medical illness or condition that requires a certificate from your general practitioner or local doctor confirming your fitness to attend;
    12.2.5 You have used threatening, abusive or insulting words to, or have behaved in a threatening, abusive or insulting manner towards, a member of Soho Editors staff, crew or Course Staff or a fellow delegate;
    12.2.6 You have committed a criminal offence during the Booking process, prior to the course starts;
    12.2.7 You cause harm, injury or threaten to cause harm or injury to other delegates, Centre Staff; or
    12.2.8 You are a hazard or risk to Yourself or other persons or to property;
    12.2.9 You have committed misconduct on a previous course and Your continued demeanour suggests that such conduct will be repeated;
    12.2.10 You have not observed Our instructions with respect to safety or security, either on the course or at the Centre;
    12.2.11 You have refused to submit to a security check of Yourself
  • Article 13 100% Guarantee and Repeat Course
  • You are permitted to 1 free retake of your booked course if the following conditions are met:
    13.1 You have notified us within 1 week after your course of your reasons for wanting to retake the same course again.
    13.2 You retake the course within 6 months of your original course start date.
    13.3 You retake the same course on the same version of software.
    13.4 You may request to attend the same course with a different trainer. We do not guarantee the course will be with a specific trainer.
